Closium, a technology brand operated by Closium LLC (formerly referenced as Bristolbilling LLC), is dedicated to enhancing individuals’ decision-making abilities by integrating machine and human intelligence. Our company offers unique AI technology products, protected by patents, that facilitate scalable text conversations with consumers. These products leverage natural language understanding, data, and personalization to engage consumers in the purchasing process before their interaction with a salesperson.

In these Terms of Use, we refer to the operating entity (doing business as "Closium") as “we,” “us,” “our,” or “Closium”, while the terms “you,” “your,” or “user” pertain to individuals utilizing Closium’s services.

1. Scope of Services

Closium’s services encompass phone-based and text-based services (referred to as the “Closium mobile services”) as well as website and web app-based services (referred to as the “Closium web app”). Additionally, our services include various websites, applications, web applications, text messages, email notifications, and other mediums or parts thereof provided by Closium.

2. Acceptance of Terms

By using Closium’s services, you agree to be bound by these Terms of Use. By accessing and using Closium’s services, whether as an individual or on behalf of an organization, you acknowledge that these Terms of Use are supported by reasonable and valuable consideration.

We strongly advise you to thoroughly review these Terms as they constitute a binding legal commitment once accepted through your use of Closium’s services. If you do not agree to these Terms, please refrain from using Closium’s services.

Organizational Use:

  • If you are using the services on behalf of an organization, you agree to these Terms of Use on behalf of that organization, representing that you have the authority to bind the organization to these terms.
  • Furthermore, you confirm that you have the legal capacity to be bound by these agreements, and if you are acting on behalf of an entity, you have the authority to bind that entity to these agreements.
  • If the organization has a separate agreement with Closium governing the use of the services, that agreement will prevail.

3. Communication & Consent

By utilizing Closium’s services, you acknowledge and consent to the possibility of receiving phone calls and text messages from Closium and its partners.

  • Authorization: You grant Closium and its Service Providers permission to contact you via phone or text message using the wireless phone number you provide or any future phone number you may provide.
  • Automated Messages: Please note that message and data rates may apply, and you agree that you may receive automated text messages or calls from an automated telephone dialing system, even if your phone number is registered on a Do-Not-Call registry.
  • Voluntary Consent: Your consent to receive text messages and calls is not a prerequisite for using Closium’s services.
  • Revocation: While you can revoke your consent by requesting placement on an internal Do Not Call list or responding with STOP to text messages, please be aware that this authorization cannot be revoked to the extent that action has already been taken in reliance on it.

Indemnification Regarding Contact Information:
Promptly notifying the Service Providers about any phone number changes is your responsibility. You agree to indemnify Closium’s Service Providers for any claims, expenses, and damages that may arise due to your failure to inform them of any changes to your wireless phone number, including claims arising under the Telephone Consumer Protection Act (TCPA).

4. Dispute Resolution

In the event of a dispute between you and Closium, both parties agree to resolve the dispute through binding arbitration, waiving the right to have disputes decided by a judge or jury. You have the option to opt-out of this agreement to arbitrate.

5. Eligibility

  • Age Requirements: Closium’s services are intended for adults and are not directed towards minors. Closium does not knowingly collect personally identifiable information from individuals under the age of 13.
  • Location: Closium’s services are exclusively intended for use by citizens and residents of the United States and Canada.

6. Modifications to Terms

Closium retains the right to modify the terms of service, and any updated terms will supersede previous versions. We reserve the right to modify these Terms of Use at any time and without specific notice to users.

  • Effective Date: Updated Terms become effective immediately upon posting.
  • Notifications: In the event of significant changes, Closium will notify you through the app, text message, or phone call.
  • Continued Use: Your continued use of Closium’s services implies your acceptance of any changes.

7. Additional Corporate Information

Closium is the official operating entity. The business address for legal correspondence is: 312 W 2nd ST PMB 5464 CASPER, WY 82601. All legal agreements, service provisions, and liabilities under these Terms are the responsibility of the parent entity operating as Closium.
